Kilimo Logistics LLC

1. Scope of Services
Kilimo Logistics LLC (“Kilimo”) provides:
- Sea freight forwarding and export coordination services from Japan
- Clearing and export documentation management
- Supplier coordination and sourcing support
- Premium Japanese barware export coordination
Kilimo acts as a logistics coordinator and service provider.
Kilimo is not a manufacturer, ocean carrier, air carrier, customs authority, or insurer.
Unless otherwise agreed in writing, Kilimo acts as an intermediary arranging services between clients, suppliers, and carriers.
A binding service agreement is formed only upon written confirmation of quotation and service acceptance.
2. Freight Forwarding Services
All freight quotations:
- Are subject to space and equipment availability
- Are subject to carrier confirmation
- May change due to carrier rate adjustments, surcharges, or regulatory requirements
Carrier terms and conditions apply to all shipments arranged by Kilimo.
The shipper is solely responsible for:
- Accurate cargo declarations
- Weight accuracy
- Proper packaging
- Compliance with export/import regulations
- Providing Verified Gross Mass (VGM) in accordance with SOLAS requirements
Kilimo assumes no liability for delays, penalties, or losses arising from inaccurate cargo information or regulatory non-compliance by the shipper.
Hazardous cargo is subject to carrier approval and may incur additional surcharges.
3. Barware & Product Sourcing Services
Kilimo may provide sourcing and supplier coordination services for premium Japanese barware and hospitality products.
Kilimo:
- Does not manufacture goods
- Does not take title to goods unless explicitly agreed in writing
- Relies on information provided by suppliers
Product specifications, certifications, regulatory compliance, and suitability for resale are the responsibility of the buyer and manufacturer.
Quality inspection, compliance verification, or testing services must be separately agreed in writing.
Kilimo does not guarantee market performance, resale success, or commercial outcomes.
4. Limitation of Liability
Kilimo acts as an intermediary between clients, suppliers, and carriers.
Kilimo is not liable for:
- Manufacturing defects
- Supplier delays
- Carrier delays
- Port congestion
- Customs holds
- Regulatory actions
- Loss or damage occurring during transportation (unless directly caused by proven negligence of Kilimo)
To the maximum extent permitted by law, Kilimo’s total liability shall be limited to the service fees paid to Kilimo for the relevant transaction.
Kilimo shall not be liable for indirect, incidental, or consequential damages.
5. Payments
Payment terms are specified in individual quotations or service agreements.
Unless otherwise agreed:
- Freight-related charges are due prior to shipment release.
- Sourcing or coordination fees are due before commencement of services.
- All payments must be made in the currency specified in the invoice.
Failure to pay may result in suspension of services or withholding of documentation.
6. Force Majeure
Kilimo shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to:
- Natural disasters
- War or civil unrest
- Government restrictions
- Port closures
- Labor disputes
- Carrier schedule changes
- Regulatory changes
7. Governing Law
These Terms shall be governed by the laws of Japan.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Japan.
8. Data Use
Kilimo may collect and process personal or business information solely for the purpose of conducting contractual services.
Kilimo does not sell personal data and handles information in accordance with its Privacy Policy.
